1. Scope of Services
Revital Media provides services including but not limited to:
Social media content creation (video/photo/design)
Account management (posting, scheduling, engagement)
Paid advertising (Facebook, Instagram, YouTube, TikTok, Google)
Influencer collaborations and UGC campaigns
AI-powered analytics and strategy development
Specific deliverables will be outlined in your signed proposal, agreement, or contract.
2. Client Responsibilities
To ensure timely and high-quality service, you agree to:
Provide access to required accounts and platforms
Deliver necessary assets (branding, logos, photos, etc.) in a timely manner
Approve content within specified review windows
Maintain communication throughout the campaign/project period
Failure to provide assets or approvals on time may affect delivery timelines.
3. Payments & Billing
All invoices are due upon receipt unless otherwise stated in your service agreement.
Late payments may incur a 5% late fee per month.
Services may be paused or terminated due to non-payment.
Ongoing monthly retainers auto-renew unless canceled in writing with 14 days’ notice.
4. Ownership & Usage Rights
All original content created by Revital Media remains our property until full payment is received.
Upon full payment, you receive a non-exclusive, royalty-free license to use the content as intended.
We reserve the right to showcase work in our portfolio unless otherwise agreed in writing.
5. Cancellations & Refunds
Monthly services can be canceled with 14 days’ written notice.
One-time project cancellations must be requested before production begins.
Refunds are not guaranteed and are reviewed case-by-case depending on work completed.
6. Confidentiality
We respect your privacy and confidentiality. Any sensitive business, customer, or marketing data shared with us will not be disclosed to third parties without your consent, unless required by law.
7. Performance & Guarantees
While we strive to improve visibility, reach, and conversions, we do not guarantee specific performance results (e.g., followers, views, or revenue) due to the dynamic nature of social media platforms and algorithms.
8. Limitation of Liability
Revital Media LLC is not liable for:
Platform downtime (e.g., Instagram outages)
Suspensions or bans caused by platform policies
Indirect or consequential damages resulting from use of our services
Our total liability is limited to the amount paid for the services rendered during the 30 days prior to a claim.
9. Modifications
We may update these Terms from time to time. You will be notified of material changes. Continued use of our services after updates means you accept the revised Terms.
10. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
